Beijing Arbitration Commission Mediation Rules

? (Adopted at the First Meeting of the Fifth Session of the Beijing Arbitration Commission on September 20, 2007. Effective as from April 1, 2008) ?

?第一条平等主体的自然人、法人和其他组织之间发生的合同纠纷和其他财产权益纠纷，可提交北京仲裁委员会（以下简称本会）调解。

? Article 1 All contractual disputes or other disputes over rights and interests in property between natural persons, legal persons and other organizations may be referred to the Beijing Arbitration Commission (hereinafter referred to as "the BAC") for mediation.

?第二条当事人同意将争议提交本会调解的，适用本调解规则。但当事人就调解程序或者调解适用的规则另有约定的，从其约定。

? Article 2 Where parties to a dispute provide for mediation of the dispute by the BAC, these Rules shall apply. If the parties have agreed to the application of a different procedure or a different set of mediation rules, their agreement shall prevail.

?仲裁程序中仲裁庭主持下的调解不适用本调解规则。

? These rules shall not apply in the conciliation presided over by an arbitral tribunal during the process of arbitration.

?第三条调解应当坚持当事人自愿的原则。

? Article 3 Mediation shall follow the principle of voluntary participation by the parties.

?第四条本会根据一方、双方或者多方当事人的申请受理调解案件。

? Article 4 The BAC accepts cases based upon the Request for Mediation by one or more parties.

?第五条当事人向本会申请调解，需要提交：

? Article 5 The party applying for mediation with the BAC should submit the following documents:

?（一）调解申请书，内容包括：

? (1) a written Request for Mediation, which shall include:

?1．各方当事人的姓名或者名称、住所、邮政编码、电话号码、传真、电子邮件以及其他可能的快捷联系方式；

? (a) the names, addresses, zip codes, telephone numbers, facsimile numbers and any other convenient means of contact of the parties involved;

?2．调解请求及争议的事实。

? (b) the requirements and the facts of the relevant dispute;

?（二）其认为适当的其他文件和证据材料，可以声明该部分文件和证据材料仅供调解员查阅。

? (2) other relevant documents or evidence, which can be declared as exclusive reference for the mediator;

?（三）身份证明文件。

? (3) proof of the party's identity.

?第六条当事人申请调解时，应当按照本会确定的标准缴纳案件注册费用。

? Article 6 The party filing a Request for Mediation shall include with the Request a registration fee.

?第七条本会收到当事人的申请后，立即向各方当事人发送调解通知及本调解规则、调解员名册。

? Article 7 Upon accepting the case, the BAC shall deliver to each party the Notification of Mediation, these Rules and the Panel of Mediators.

?第八条对方当事人收到调解通知后，需要在10日内向本会提交：

? Article 8 Within 10 days of the receipt of the Notification of Mediation, the other party shall submit to the BAC the following documents:

?（一）是否同意将争议提交本会调解的书面意见；

? (1) its written opinion on whether the dispute shall be submitted to the BAC for mediation;

?（二）对对方调解请求的书面意见；

? (2) its written opinion on the requirements of the counter party;

?（三）其认为适当的文件和证据材料，可以声明该部分文件和证据材料仅供调解员查阅；

? (3) other relevant documents or evidence, which can be declared as the reference only for mediator;

?（四）身份证明文件。

? (4) proof of the party's identity.

?第九条当事人特别声明仅供调解员查阅的材料，需要提交一式一份。调解员人数超过一人的，增加相应份数。

? Article 9 Any written documents submitted as exclusive reference for the mediator shall be submitted in one copy. If there are two or more mediators, the copies shall be added accordingly.

?当事人未明确声明仅供调解员查阅的材料，需要提交一式二份。当事人人数超过二人或者调解员人数超过一人，增加相应份数。

? Other documents not being declared as exclusive reference for the mediator shall be submitted in two copies, one of which shall be delivered to the other party. If there are two or more counter parties or mediators, additional copies shall be added accordingly.

?第十条各方当事人在调解程序开始前已经达成将相关争议提交本会调解解决的协议，则对方当事人在本调解规则第八条规定的期限内不提交书面意见不影响调解程序的继续进行。

? Article 10 Where there is an agreement between the parties to refer their disputes to the BAC for mediation, the progress of the mediation shall not be affected if the other party fails to submit its written documents according to Article 8.

?各方当事人在调解程序开始前未达成将相关争议提交本会调解解决的协议，则对方当事人在本调解规则第八条规定的期限内没有明确表示接受调解的，视为拒绝调解。对方当事人在期限届满后表示同意调解的，由本会决定是否继续调解程序。?

? Where there is no agreement between the parties to refer their disputes to the BAC for mediation, the other party shall be deemed as having declined mediation if it fails to clearly express consent to mediation within the time limit set forth in Article 8. If the other party agrees to mediation after the expiry of the time limit, authorization to continue the mediation proceedings shall be decided by the BAC.

?第十一条除非当事人另有约定，调解由一名调解员进行。

? Article 11 The mediation shall be conducted by one mediator unless the parties agree otherwise.

?第十二条本会设有推荐性调解员名册，供当事人选择调解员。当事人也可以在调解员名册外选择调解员。

? Article 12 The BAC maintains a Panel of Mediators for the parties to choose. The parties can also choose mediators from outside the Panel of Mediators.

?在调解员名册外选择调解员的，当事人应当提交该调解员必要的联系方式。

? The parties shall provide the BAC with the mediator's necessary means of contact if they choose the mediator from outside the Panel of Mediators.

?各方当事人自收到调解通知之日起15日内不能共同选定一名调解员或者不能共同委托本会主任指定调解员的，视为不同意调解。当事人另有约定除外。

? If the parties fail to jointly nominate or jointly authorize the Chairman of the BAC to appoint the mediator within 15 days of the receipt of the Notification of Mediation, they shall be deemed as having declined mediation, unless the parties agree otherwise.

?第十三条各方当事人应当自收到本会发送的收费通知之日起10日内按照本会的调解收费标准各向本会预交同等比例的调解费用。当事人对于预交的比例另有约定的，从其约定。

? Article 13 Within 10 days of the receipt of the Notification of Mediation by the parties, they shall deposit in equal proportion to the BAC the mediation fee according to the Mediation Fee Schedule. If the parties agree otherwise on the deposit of mediation fee, their agreement shall prevail.

?当事人不预交调解费用，视为不同意调解。

? If any party fails to deposit the mediation fee, that party shall be deemed as having declined mediation.

?第十四条调解员接受选定或者指定的，知悉与案件当事人或者代理人存在可能导致当事人对其独立性、公正性产生怀疑的情形，应当书面披露。

? Article 14 If a mediator, having decided to accept the parties' nomination or the Chairman's appointment, is aware of circumstances relating to the parties or their authorized representatives which might lead any one of the parties to doubt the mediator's independence or impartiality, the mediator shall disclose those circumstances in writing.

?第十五条任何一方当事人申请更换调解员的，该调解员应当退出案件的调解。各方当事人应当在收到重新选定调解员的通知后10日内另行选定调解员。不能共同选定亦不能共同委托本会主任指定的，调解程序终结。

? Article 15 The mediator shall resign if requested to do so by either party. The parties shall nominate another mediator within 10 days of the receipt of the notification of re-nomination. If the parties fail to jointly re-nominate or jointly authorize the Chairman of the BAC to re-appoint the mediator, the mediation process shall terminate.

?第十六条当事人可以委托代理人参加调解，但应当向本会提交载明具体权限的授权委托书。

? Article 16 If either party engages a representative to participate in the mediation proceedings on its behalf, that party shall submit a Power of Attorney.

?第十七条除非当事人另有约定，调解不公开进行。调解过程不记笔录。

? Article 17 Mediation proceedings shall be conducted in private, unless the parties agree otherwise. A record shall not be taken for the mediation process.

?调解员、当事人及其代理人、证人、专家、本会工作人员以及其他参与调解过程的人员对于调解的一切事项负有保密义务。

? The mediators, the parties, their authorized representatives, witnesses, experts, appraisers as well as staff of the BAC and other participants in mediation shall have the burden to keep all the issues about the mediation in secret.

?调解员可以将一方当事人在另一方当事人不在场的情况下陈述的有关情况告知另一方当事人，以便另一方当事人作出相应说明。但作出陈述的一方当事人明确反对或者要求调解员予以保密的除外。

? When the mediator receives information concerning the dispute from a party while the other party to the mediation is absent, the mediator may disclose that information to the other party in order that the other party may have the opportunity to present any explanation which he/she considers appropriate. However, when a party gives any information to the mediator subject to a specific condition that it be kept confidential or opposes disclosure absolutely, that information shall not be disclosed.

?第十八条调解员应当公平、公正对待各方当事人，协助当事人解决争议。

? Article 18 The mediator shall treat the parties equally and fairly and help them settle the disputes.

?调解员可以在充分考虑案情、当事人意愿以及快速解决纠纷需要的情况下，采取其认为合适的方式进行调解，包括但不限于：

? The mediator may conduct the mediation proceedings in such a manner as the mediator considers appropriate, taking into account the circumstances, any wishes that the parties may express and the need for a speedy settlement of the dispute, including but not limited to：

?（一）单独或者同时会见当事人及其代理人进行调解；

? (1) Meeting with the parties or representatives separately or collectively in conducting mediation;

?（二）要求当事人补充提交材料和书面意见；

? (2) Requesting the parties to submit supplementary materials and written opinions；

?（三）要求当事人提出书面或者口头的解决争议的方案；

? (3) Requesting the parties to propose oral or written recommendations or plans for settlement；

?（四）征得当事人同意后，聘请有关专家就技术性问题提供咨询或者鉴定意见；?

? (4) With prior approval by the parties, engaging relevant experts to provide consulting advice or an appraisal opinion with respect to technical issues;

?（五）提出解决争议的建议和意见。

? (5) Offering the parties a settlement proposal or suggestion.

?第十九条聘请有关专家参加调解工作的，当事人应当预交相关费用。

? Article 19 Expenses arising in relation to experts of relevant professions invited to participate in mediation work shall be deposited and borne by the parties.

?第二十条调解在本会所在地进行。如果当事人另有约定，可以在其他地点进行。由此发生的费用，由当事人负担。

? Article 20 Mediation sessions shall be conducted at the BAC's premises. It may be conducted in other places if the parties so agree. The expenses incurred thereof shall be borne by the parties.

?第二十一条当事人可以约定调解期限；调解员经商当事人同意后，也可以确定必要的调解期限。

? Article 21 The parties may, by agreement, establish a time limit for the mediation. The mediator may also establish a time limit for the mediation with the consent of the parties. ?

?当事人未约定且调解员亦未确定调解期限的，则调解员应当自接受选定或者指定后的30日内完成调解，当事人同意延期的除外。

? Where there is no specific time limit for mediation set by the parties or the mediator, the mediator shall complete the mediation within 30 days of the date of the mediator's appointment or nomination, unless the parties make agreement upon a suitable extension of the time limit.

?第二十二条经过调解，当事人达成一致意见的，签订和解协议。和解协议对各方当事人有约束力。

? Article 22 If through mediation, the parties reach a settlement, they shall sign a settlement agreement that is binding upon the parties.

?当事人可以向本会申请仲裁，请求仲裁庭依据和解协议的内容制作调解书或者裁决书。未达成仲裁协议的除外。

? The parties can apply for arbitration to the BAC by submitting an arbitration agreement and request the arbitral tribunal to render an arbitral award or enforceable Statement of Conciliation following the content of the settlement agreement.

?第二十三条出现下列情形之一，调解程序终止：

? Article 23 Mediation proceedings shall be terminated if any of the following circumstances arises:

?（一）当事人达成和解协议；

? 1. The parties have reached a settlement agreement;

?（二）调解员认为调解已无成功的可能并书面声明终止调解程序；

? 2. The mediator concludes that it is unlikely to have successful mediation and declares in writing to terminate the mediation proceedings;

?（三）当事人一方或者双方声明终止调解程序；

? 3. The parties or one party declares in writing to the mediator that the mediation proceedings shall be terminated; or

?（四）调解期限届满，但当事人同意延期的除外。

? 4. The term of mediation expires, unless the parties agree to extend.

?第二十四条任何一方当事人均不得在之后的仲裁程序、司法程序或者其他任何程序中援引对方当事人或者调解员在调解过程中的任何陈述、意见、观点或建议，以及书面材料作为其请求、答辩或者反请求的依据。

? Article 24 Any party shall not in any manner produce any statements, views, opinions or proposals put forward by the parties or the mediator, for the purpose of reaching a settlement, in the course of mediation, as grounds for claim, defense or counterclaims in any subsequent arbitration proceedings or judicial proceedings.

?当事人亦不能要求调解员在上述程序中作为证人。

? The parties shall not request the mediator to act as a witness in the subsequent proceedings.

?第二十五条除非当事人另有约定，调解员不得在之后就相同或者相关争议进行的仲裁程序、司法程序或者其他任何程序中作为仲裁员、法官，或者一方当事人的代理人。

? Article 25 The mediator may not be appointed as an arbitrator, judge or as one party's representative in the subsequent arbitration or litigation proceedings, unless the parties agree otherwise.

?第二十六条调解费用以及经各方当事人同意收取的其他费用包括但不限于本调解规则第十九条、第二十条涉及的费用，由各方当事人平均分担。当事人另有约定的除外。

? Article 26 The costs of the mediation and other expenses agreed to be borne by the parties, including but not limited to the costs set forth in Article 19, 20 shall generally be borne in equal shares by the parties, unless the parties agree otherwise.

?调解费用原则上按照本会制定的调解收费办法执行。当事人和调解员就调解员的报酬另有约定的，则该部分调解费用从其约定。

? The costs are generally paid in accordance with the Mediation Fee Schedule of the BAC.

If the parties and the mediator make an agreement upon the Mediator Fee, this portion of cost shall be paid according to their agreement.

?第二十七条本调解规则由本会解释。

? Article 27 These Rules shall be interpreted by the BAC.

?第二十八条本调解规则自2008年4月1日起施行。

? Article 28 These Rules shall come into force as of April 1, 2008.

American companies have a track record in effectively operating in complex and diverse regulatory environments and take pride in such leadership roles. Over the last 18 months, the Indonesian parliament has enacted several laws that impact how companies’ environmental performance shall be characterized, monitored and managed by regulatory bodies at the national, provincial and municipal levels. These laws, although good in their intent, raise a number of questions regarding their interpretation and implementation. The passing of Law 32/2009 (Environmental Protection and Management) and Law 18/2008 (Municipal Waste Management Act) brings about a number of implementing regulations, which are expected to provide guidance and clarity. This Clarification Brief/Working Paper (CB/WP) seeks clarification on the timing and format of consultation related to implementing regulations for Laws 32/2009 and 18/2008. More importantly, this CB/WP suggests clarification points to be inserted into such consultations, so key stakeholders engage in fruitful discussions that contribute to a greater understanding of and compliance with the law.
